DISCOUNT Offer FOR Vi Max Device Security SERVICES IS ORGANISED BY Vodafone Idea Business Services segment of VODAFONE IDEA LIMITED (“Vi Business”). THE FOLLOWING TERMS & CONDITIONS SHALL BE APPLICABLE TO ALL VODAFONE IDEA ENTERPRISE CUSTOMERS PARTICIPATING IN THE OFFER KNOWN AS “DISCOUNT Offer” UPON SUBSCRIBING FOR THE DESIGNATED NUMBER OF LICENSES ON EMAIL SECURITY HEREIN DURING THE PERIOD Limited period offers(HEREINAFTER REFERRED TO AS “OFFER PERIOD”).
PLEASE READ THE FOLLOWING TERMS AND CONDITIONS CAREFULLY BEFORE AVAILING THIS OFFER KNOWN AS “DISCOUNT Offer”. BY AVAILING THE OFFER, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS AND CONDITIONS (“TERMS AND CONDITIONS”). IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, PLEASE DO NOT AVAIL THE OFFER.
For the purposes of these Terms and Conditions, wherever the context so requires “You” or “Your” shall mean any small or medium enterprise registered within the jurisdiction of India who are being referred as ‘Eligible Customer’ in this DISCOUNT Offer.
Terms and Conditions:
1. DEFINITIONS:
a."Eligible Customer" shall mean an existing Small and Medium enterprise (“SME”) or small office home office (“SOHO”) customer of Vi Business or is a new SME / SOHO customer falling within the said identified parameters ad who has subscribed for a minimum of twenty (20) numbers or more of Vi Max Device Security Licenses for a period of 1 year, wherein each license annual subscription would cost Rs. 433 p.a. (“Services”) from Vi Business portal (www.myvi.in) during the Offer Period;
b.An Eligible Customer must also satisfy the following criteria at the time of availing the DISCOUNT Offer during Offer Period:–
i.Eligible Customer must have subscribed for the services during the Offer Period from the Vi Business portal.
ii.Eligible Customer must have completed and filled up the RFN (Ready for Next) survey and should provide all necessary and accurate details while accessing the portal on www.myvi.in of Vi Business;
iii.Eligible Customer must not default or have any overdue invoices with Vi Business during their availing of services;
iv.Eligible Customer must ensure that their registrations, approvals and permissions (necessary for running the enterprise business) are valid and subsisting during the period of subscription for the Services;
2. DETAILS OF OFFER:
Vi Business is offering a promotional discount of Rs. 433/- (i.e. at a discount of 33% on the standard price) each Vi Max Device Security License for all those Eligible Customers subscribing for Services during the Offer Period (“DISCOUNT Offer”). This Discount Offer is available for SME / SOHO who are an Eligible Customer having subscribed for the Services during the Offer Period. The Discount Offer shall be subject to the Eligible Customer complying with the terms and conditions / End User License Agreement mentioned therein towards the Services being subscribed by them. It is agreeable to the Eligible Customer that during availing of the Services as stated therein there would be certain binding conditions, such as annual advance payment or commitment alongwith the promotional plan during the Offer Period being exclusive of GST tax by such Eligible Customer. These commercial terms including the terms and conditions applicable for the license subscription would need to be worked between Parties based on the service requirement, which would need to the captured in the order document that will need to be prior signed and agreed by the authorised signatory of the Eligible Customer.
To explain the Discount benefit to Eligible Customer, we wanted to state herein that our standard offering and market operating price of Max Device Security Solution pack is Rs. 649 per license per year, excluding all applicable taxes. As a special offer we have discounted the prices on the Services during the Offer Period and reduced per license price from Rs. 649 to Rs. 433 per license.
3. Special Conditions:
- Tax exclusive – The subscription billing of Eligible Customer would be exclusive of Goods and Services Tax payable for the Services post application of the Discount Offer during the Offer Period. To clarify further, it is understood by the Eligible Customer that the DISCOUNT Offer would be applicable for the advance payment on the annual subscription plan for a minimum of 20 Vi Max Device Security License availed during the Offer Period.
- Termination – Eligible Customer understands and agrees that there is no premature termination of Services i.e. exiting prior to the annual subscription tenure agreed in the order document; then Vi Business shall not be liable to refund any monies / payments to the Eligible Customer made for during the Offer Period.
4. Exclusions:
A. Customers not falling within the ambit of a Small or Medium Enterprise as identified by Vi Business.
B. Customer has not completed or filled the RFN survey to be eligible for the DISCOUNT Offer above.
C. An Eligible Customer may club orders during the Offer period as is permitted for availing the DISCOUNT Offer.
5. CANCELLATION OR WITHDRAWAL OF OFFER:
Vi Business reserves the right to extend, cancel, discontinue or prematurely withdraw the DISCOUNT Offer at any time during its validity as may be required in view of business exigencies and/or statutory changes and the same shall be binding on the Eligible Customers availing this Offer. Vi Business reserve the right, at any time, to unconditionally disqualify any participating Subscriber who tampers with or who in any way abuses the process or Terms and Conditions of the Offer.
6. Modification:
Vi Business reserve the right, at their sole discretion, to modify these Terms & Conditions of the Offer or any part thereof at any time during the Offer Period and without prior notice to You, if so required in view of business exigencies and/or guidelines issued / amended by a government or judicial body and/or statutory changes and the same shall be binding on the Eligible Customer availing this DISCOUNT Offer. If Vi Business modify these Terms, the modified terms will be posted on www.myvi.in. You are therefore advised to check this Website regularly for any update(s) or amendment(s) made to these Terms and Conditions and in the event the modified or amended Terms and Conditions are not acceptable to You, You should discontinue participating in the Offer. Your continued participation in the Offer will constitute Your acceptance of the latest revised Terms and Conditions.
7. DISCLAIMER OF LIABILITIES:
You agree that this Offer is being made purely on a “commercially reasonable endeavour” basis and subject to acceptance of these Terms and Conditions. Your participation in the DISCOUNT Offer is voluntary and You expressly agree to avail the DISCOUNT Offer at your sole risk. Vi Business shall not be responsible for any loss, injury or any other liability to any Eligible Customer arising due to participation in the DISCOUNT Offer.
8. REPRESENTATION AND WARRANTY:
Eligible Customer understand and agrees that the Vi Max Device Security License are been powered by third party service provider and Vi Business is merely a reseller of the said services in India. Vi Business makes no representation or warranty of any kind whatsoever, whether express or implied, including, but not limited to, meeting of Your requirements or aspirations, timeliness, security of the Services and/or any delay or failure to avail the DISCOUNT Offer including due to technical snags. To the extent you choose to avail this DISCOUNT Offer you do so at your own initiative and You shall remain responsible for compliance with the Terms and Conditions herein any applicable laws, including but not limited to applicable local laws. You agree not to hold Vi Business, its officers, directors, employees, affiliates, and agents or representatives liable for any direct, indirect, incidental, special, punitive or consequential damages, including loss of profits, incurred by the Eligible Customer or any participant or third party, in connection with the DISCOUNT Offer or arising otherwise. Vi Business reserves the right to change, suspend, remove, or disable access to the offer at any time without notice. In no event will Vi Business be liable for the removal of or disabling of access to the offer. Vi Business may also impose limits on the use of or access to the offer, in any case and without notice or liability. Under this DISCOUNT offer, Vi Business’s responsibility shall only be limited in providing Telecom Service on Vi Business’s network for Eligible Customer availing this offer. You expressly agree to avail the DISCOUNT offer at your sole risk. Vi Business are not liable for any loss, direct or indirect or consequential or of any damage of any nature whatsoever if incurred by the Eligible Customer in connection with the Services.
9. INDEMNITY:
Eligible Customer(s) agree to indemnify, defend and hold harmless Vi Business, its directors, officers, employees, agents and/or its affiliates from any loss, claim or damages including reasonable attorney’s fees that may occur to Vi Business or its affiliates due to (a) breach by You of any the terms and conditions mentioned herein, (b) Your failure to comply with applicable law and (c) any third party claim in respect of misuse of any information of a third party.
10. ASSIGNMENT:
Vi Business may assign any or all of their rights under these Terms and Conditions to their affiliates or to any third parties without consent of the Eligible Customer(s).
11. SEVERABILITY:
If any part of these terms and conditions of use are determined by a court of competent jurisdiction to be invalid or unenforceable, that part shall be limited or eliminated to the minimum extent necessary so that the remainder of these terms and conditions are fully enforceable and legally binding.
12. WAIVER:
Failure by Vi Business to enforce any of the Terms and Conditions in any instance shall not be deemed to be a waiver of that Term and Condition and shall not give rise to any claim by any person.
13. DISPUTES RESOLUTION:
These terms and conditions are governed in accordance with the laws of India. Any disputes or any matter arising here from will be referred to a Sole Arbitrator to be appointed by Vi Business, whose decision shall be final and binding on You. The place of Arbitration shall be at Mumbai and the language of Arbitration shall be English.
14. ELIGIBLE CUSTOMER QUERIES:
Any questions or concerns about these terms and conditions of this DISCOUNT Offer may be brought to the attention of Vi Business by e-mail / visiting website page. Any questions or concerns should be brought to our attention via e-mail by visiting our contact us page, providing us with information relating to Eligible Customer(s) feedback, comments and / or service related issue, if any. The Eligible Customer(s) agree that Vi Business do not make any commitment, express or implied to respond to any feedback, suggestion and/or queries of the participating Eligible Customers.
15. You agree that you have read, understood and voluntarily agree to these terms and conditions mentioned and stated under this DISCOUNT Offer herein.
16. You agree that Vi Business and their officials including their directors, officers, partners, employees, consultants and agents are under no obligation to render any advice or service to any Eligible Customer in respect of the DISCOUNT Offer.
17. You acknowledge and agree that all copyright and trademarks and all other intellectual property rights in all materials or contents related to the DISCOUNT Offer shall remain, at all times, owned by Vi Business. Nothing in the DISCOUNT Offer shall affect any intellectual property rights of Vi Business or any of their affiliates in any manner.
18. You agree that apart from the benefits available under the DISCOUNT offer, the respective Eligible Customer(s) will have no other rights or claims against Vi Business, unless otherwise expressly provided hereunder.
19. You hereby irrevocably authorize Vi Business, that the data related to the DISCOUNT Offer gathered during and/or after the Offer Period in respect of the Eligible Customer shall be used by Vi Business and its subsidiaries in its communications including marketing promotions and advertisements along with/without Vi Business’s brand.
