Terms & Conditions: 6 MONTHS Offer for Corporate Caller Tune (‘CCT’)
THIS DOCUMENT IS AN ELECTRONIC RECORD IN TERMS OF THE INFORMATION TECHNOLOGY ACT, 2000 AND RULES THEREUNDER AS APPLICABLE. THIS ELECTRONIC RECORD IS GENERATED BY A COMPUTER SYSTEM AND DOES NOT REQUIRE ANY PHYSICAL OR DIGITAL SIGNATURES.
6 MONTHS Offer FOR CORPORATE CALLER TUNE IS ORGANISED BY VODAFONE IDEA LIMITED (“Vi Business”). THE FOLLOWING TERMS & CONDITIONS SHALL BE APPLICABLE TO ALL VODAFONE IDEA ENTERPRISE CUSTOMERS AVAILING THE OFFER KNOWN AS “6 MONTHS Offer” UPON SUBSCRIBING Vi BUSINESS PLAN FOR THE MORE THAN 10 MOBILITY CONNECTIONS OFFERED HEREIN DURING THE PERIOD from 27th JUNE 2022 till 31st AUGUST 2022 (HEREINAFTER REFERRED TO AS “OFFER PERIOD”).
PLEASE READ THE FOLLOWING TERMS AND CONDITIONS CAREFULLY BEFORE AVAILING THIS OFFER KNOWN AS “6 MONTHS Offer”. BY AVAILING THE OFFER, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS AND CONDITIONS (“TERMS AND CONDITIONS”). IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, PLEASE DO NOT AVAIL THE OFFER.
For the purposes of these Terms and Conditions, wherever the context so requires “You” or “Your” shall mean any small or medium enterprise registered within the jurisdiction of India who are being referred as an Eligible Customer in this 6 MONTHS Offer.
Terms and Conditions:
1. DEFINITIONS:
a. “Eligible Customer” shall mean an existing or new small and medium enterprise (“SME”) customer of Vi Business who has subscribed for more than 10 COCP connections and each of these connections are on a Rs. 299/- Vi Business Plan (“Services”) from Vi Business portal (www.myvi.in) during the Offer Period;
b. An Eligible Customer must also satisfy the following criteria at the time of availing the 6 MONTHS Offer as well as during Offer Period:–
i. Eligible Customer must have subscribed for the Services during the Offer Period from the Vi Business portal.
ii. Eligible Customer must have completed prescribed registration process and should provide all necessary and accurate details while accessing the portal on www.myvi.in of Vi Business;
iii. Eligible Customer will only be permitted a single Corporate Caller Tune (CCT) during the 6 MONTHS Offer and also all Content and documents regarding the caller tune (e.g. No Objection Certificate to indemnify Vi Business) will be validated before activation. Eligible Customer have to comply and provide content as per pre-set formats for the caller tune to be live on Vi Business Platform within such specified time period. Copyright and/or any other rights on the CCT needs to be provided well in advance by the Eligible Customer to Vi Business.
iv. Eligible Customer must not have committed any default under the terms and conditions of the Customer Application Form (“CAF”) or have any overdue invoices with Vi Business during their availing of Services;
v. Eligible Customer must ensure that their registrations, approvals and permissions (necessary for running the enterprise business) are valid and subsisting during the subscription for the Services;
2. DETAILS OF OFFER:
Vi Business is offering to play your CCT on each of those connections that the Eligible Customer(s) has subscribed for Services during the Offer Period for free over next six (6) months, whereby this benefit would be reflected on their first six (6) billing cycles at no charge from the date of activation during the Offer Period (“6 MONTHS Offer”). This 6 MONTHS Offer is available only for SME Customers who are Eligible Customers having subscribed for the Services during the Offer Period. It is clarified herein that the activation of CCT would be activated or deactivated for all the connections simultaneously (no partial activation or deactivation permitted)
3. Special Conditions:
- Termination – Eligible Customer understands and agrees that in case of early termination of Services i.e. prior to the tenure agreed in the CAF; then Vi Business shall be entitled to charge back for the free CCT on the mobility Vi Business Plan connections activated under the 6 MONTHS Offer, in case there is a premature termination of Services by the Eligible Customer and if applicable, an exit charge penalty as may be agreed between Parties. It is understood herein that the monthly CCT pack rate is INR 49.
- Only 1 approved tune – During this 6 MONTHS Offer, the offer is only applicable on a single approved tune that would be activated once during the forthcoming six (6) months period on the connections activated under the Service with one (1) year contract.
- Range of Offer - It is clarified herein the plan activated by the Eligible Customer for enabling this 6 MONTHS Offer need to be on the mobility connection of Vi Business Plan of Rs. 299 and above.
4. Exclusions:
A.Customers not falling within the ambit of a Small or Medium Enterprise as identified by Vi Business; and
B. Customer has ordered mobility connection below the Range of Offer specified under point 3 above; and
C. Customer has not ordered for the minimum quantity of 10 COCP mobility connections; or No clubbing of orders during the Offer period is permitted for availing the 6 MONTHS Offer.
D. Customer has ordered for these connections not on Vi Business Plus Plans
E. One or more of the Enterprise connections are already live on CCT.
5. CANCELLATION OR WITHDRAWAL OF OFFER:
Vi Business reserves the right to extend, cancel, discontinue or prematurely withdraw the 6 MONTHS Offer at any time during its validity as may be required in view of business exigencies and/or changes by TRAI, Department of Telecom (DOT) and/or statutory changes and the same shall be binding on the Eligible Customers availing this Offer. Vi Business reserve the right, at any time, to unconditionally disqualify any Eligible Customer who tampers with or who in any way abuses the process or Terms and Conditions of the Offer.
6. MODIFICATION:
Vi Business reserve the right, at their sole discretion, to modify these Terms & Conditions of the Offer or any part thereof at any time during the Offer Period and without prior notice to You, if so required in view of business exigencies and/or guidelines issued / amended by TRAI, Department of Telecom (DOT) and/or statutory changes and the same shall be binding on the Eligible Customer availing this 6 MONTHS Offer. If Vi Business modify these Terms, the modified terms will be posted on www.myvi.in, You are therefore advised to check this Website regularly for any update(s) or amendment(s) made to these Terms and Conditions and in the event the modified or amended Terms and Conditions are not acceptable to You, You should discontinue participating in the Offer. Your continued participation in the Offer will constitute Your acceptance of the latest revised Terms and Conditions.
7. DISCLAIMER OF LIABILITIES:
You agree that this Offer is being made purely on a “commercially reasonable endeavor” basis and subject to acceptance of these Terms and Conditions. Your participation in the 6 MONTHS Offer is voluntary and You expressly agree to avail the 6 MONTHS Offer at your sole risk. Vi Business shall not be responsible for any loss, injury or any other liability to any Eligible Customer arising due to participation in the 6 MONTHS Offer.
8. Vi Business makes no representation or warranty of any kind whatsoever, whether express or implied, including, but not limited to, meeting of Your requirements or aspirations, timeliness, security of the Services and/or any delay or failure to avail the 6 MONTHS Offer including due to technical snags. To the extent you choose to avail this 6 MONTHS Offer you do so at your own initiative and You shall remain responsible for compliance with the Terms and Conditions herein any applicable laws, including but not limited to applicable local laws. You agree not to hold Vi Business, its officers, directors, employees, affiliates, and agents or representatives liable for any direct, indirect, incidental, special, punitive or consequential damages, including loss of profits, incurred by the Eligible Customer or any participant or third party, in connection with the 6 MONTHS Offer or arising otherwise. Vi Business reserves the right to change, suspend, remove, or disable access to the offer at any time without notice. In no event will Vi Business be liable for the removal of or disabling of access to the offer. Vi Business may also impose limits on the use of or access to the offer, in any case and without notice or liability. Under this 6 MONTHS Offer, Vi Business’s responsibility shall only be limited in providing Telecom Service on Vi Business’s network for Eligible Customer availing this offer. You expressly agree to avail the 6 MONTHS Offer at your sole risk. Vi Business are not liable for any loss, direct or indirect or consequential or of any damage of any nature whatsoever if incurred by the Eligible Customer in connection with the Services.
9. INDEMNITY:
Eligible Customer(s) agree to indemnify, defend and hold harmless Vi Business, its directors, officers, employees, agents and/or its affiliates from any loss, claim or damages including reasonable attorney’s fees that may occur to Vi Business or its affiliates due to (a) breach by You of any the terms and conditions mentioned herein, (b) Your failure to comply with applicable law and (c) any third party claim in respect of misuse of any information of a third party.
10. ASSIGNMENT:
Vi Business may assign any or all of their rights under these Terms and Conditions to their affiliates or to any third parties without consent of the Eligible Customer.
11. SEVERABILITY:
If any part of these terms and conditions of use are determined by a court of competent jurisdiction to be invalid or unenforceable, that part shall be limited or eliminated to the minimum extent necessary so that the remainder of these terms and conditions are fully enforceable and legally binding.
12. WAIVER:
Failure by Vi Business to enforce any of the Terms and Conditions in any instance shall not be deemed to be a waiver of that Term and Condition and shall not give rise to any claim by any person.
13. DISPUTES RESOLUTION:
These terms and conditions are governed in accordance with the laws of India. Any disputes or any matter arising here from will be referred to a Sole Arbitrator to be appointed by Vi Business, whose decision shall be final and binding on You. The place of Arbitration shall be at Mumbai and the language of Arbitration shall be English.
14. ELIGIBLE CUSTOMER QUERIES:
Any questions or concerns about these terms and conditions of this 6 MONTHS Offer may be brought to the attention of Vi Business by e-mail / visiting website page. Any questions or concerns should be brought to our attention via e-mail by visiting our contact us page, providing us with information relating to Eligible Customer(s) feedback, comments and / or service related issue, if any. The Eligible Customer(s) agree that Vi Business do not make any commitment, express or implied to respond to any feedback, suggestion and/or queries of the participating Eligible Customers.
15. You agree that you have read, understood and voluntarily agree to these terms and conditions mentioned and stated under this 6 MONTHS Offer herein.
16. You agree that Vi Business and their officials including their directors, officers, partners, employees, consultants and agents are under no obligation to render any advice or service to any Eligible Customer in respect of the 6 MONTHS Offer.
17. You acknowledge and agree that all copyright and trademarks and all other intellectual property rights in all materials or contents related to the 6 MONTHS Offer shall remain, at all times, owned by Vi Business. Nothing in the 6 MONTHS Offer shall affect any intellectual property rights of Vi Business or any of their affiliates in any manner.
18. You agree that apart from the benefits available under the 6 MONTHS Offer, the respective Eligible Customer(s) will have no other rights or claims against Vi Business, unless otherwise expressly provided hereunder.
19. You hereby irrevocably authorize Vi Business, that the data related to the 6 MONTHS Offer gathered during and/or after the Offer Period in respect of the Eligible Customer shall be used by Vi Business and its subsidiaries in its communications including marketing promotions and advertisements along with/without Vi Business’s brand.
20. You agree that Vi Business has no responsibility and liability with regard to the privacy, safety and security of any information (including personal information) that You may have to share independently with any third party for availing this 6 MONTHS Offer.
